Both announced that they have entered into a definitive agreement under which Microsoft will acquire Skype, the leading Internet communications company, for $8.5 billion in cash

Press Release: Microsoft Corp. and Skype Global today announced that they have entered into a definitive agreement under which Microsoft will acquire Skype, the leading Internet communications company, for $8.5 billion in cash from the investor group led by Silver Lake. The agreement has been approved by the boards of directors of both Microsoft and Skype.

The acquisition will increase the accessibility of real-time video and voice communications, bringing benefits to both consumers and enterprise users and generating significant new business and revenue opportunities. The combination will extend Skype’s world-class brand and the reach of its networked platform, while enhancing Microsoft’s existing portfolio of real-time communications products and services.

With 170 million connected users and over 207 billion minutes of voice and video conversations in 2010, Skype has been a pioneer in creating rich, meaningful connections among friends, families and business colleagues globally. Microsoft has a long-standing focus and investment in real-time communications across its various platforms, including Lync (which saw 30 percent revenue growth in Q3), Outlook, Messenger, Hotmail and Xbox LIVE.

Skype will support Microsoft devices like Xbox and Kinect, Windows Phone and a wide array of Windows devices, and Microsoft will connect Skype users with Lync, Outlook, Xbox Live and other communities. Microsoft will continue to invest in and support Skype clients on non-Microsoft platforms.

“Skype is a phenomenal service that is loved by millions of people around the world,” said Microsoft CEO Steve Ballmer. “Together we will create the future of real-time communications so people can easily stay connected to family, friends, clients and colleagues anywhere in the world.”

Skype will become a new business division within Microsoft, and Skype CEO Tony Bates will assume the title of president of the Microsoft Skype Division, reporting directly to Ballmer.

“Microsoft and Skype share the vision of bringing software innovation and products to our customers,” said Tony Bates. “Together, we will be able to accelerate Skype’s plans to extend our global community and introduce new ways for everyone to communicate and collaborate,” Bates said.

“Tony Bates has a great track record as a leader and will strengthen the Microsoft management team. I’m looking forward to Skype’s talented global workforce bringing its insights, ideas and experience to Microsoft,” Ballmer said.

Speaking on behalf of the investor group that sold Skype to Microsoft, Egon Durban, managing director of Silver Lake, said: “We are thrilled with Skype’s transformation during the period of our ownership and grateful for the extraordinary commitment of its management team and employees. We are excited about Skype’s long-term future with Microsoft, as it is poised to become one of the world’s most dynamic and comprehensive communications platforms.”

Founded in 2003, Skype was acquired by eBay in September 2005, and then acquired by an investment group led by Silver Lake in November 2009. Skype has made impressive progress over the past 18 months under Silver Lake’s leadership, increasing monthly calling minutes by 150 percent, developing new revenue streams and strategic partnerships, acquiring the intellectual property powering its peer-to-peer network, and recruiting an outstanding senior management team.

Other members of the selling investor group led by Silver Lake include eBay International AG, CPP Investment Board, Joltid Limited in partnership with Europlay Capital Advisors; and Andreessen Horowitz.

The acquisition is subject to regulatory approvals and other customary closing conditions. The parties hope to obtain all required regulatory clearances during the course of this calendar year.

About Skype
Skype is communications software whose purpose is to break down barriers to communication. With an Internet-connected device, families, friends and colleagues can get together for free with messaging, voice and video. At low cost, they can also call landlines or mobiles virtually anywhere in the world. Skype has recently introduced group video, allowing groups of more than two people to do things together whenever they’re apart.

Founded in 2003 and based in Luxembourg. Skype can be downloaded onto computers, mobile phones and other connected devices for free.

Sept. 28, 2009 — Microsoft Security Essentials, Microsoft Corp.’s new no-cost, core anti-malware service that helps protect consumers against viruses, spyware and other malicious software, will be available tomorrow, Tuesday, Sept. 29.
“Consumers have told us that they want the protection of real-time security software but we know that too many are either unwilling or unable to pay for it, and so end up unprotected,” said Amy Barzdukas, general manager for consumer security at Microsoft. “With Microsoft Security Essentials, consumers can get high-quality protection that is easy to get and easy to use — and it won’t get in their way.”

Making Microsoft Security Essentials broadly available as a free consumer download for genuine Windows-based PCs is part of Microsoft’s ongoing commitment to provide a more trustworthy computing experience for all customers. By making Microsoft Security Essentials easy to get and easy to use, Microsoft hopes to encourage broader adoption of anti-virus protection across the consumer audience, which in turn will help increase security across the entire Windows ecosystem. For business customers, Microsoft continues to offer Forefront Client Security, providing centralized, comprehensive management and reporting capabilities.

Maximum Security, Minimum Resource Requirements

Microsoft Security Essentials is designed to run quietly in the background alerting users only when there is an action for them to take. It also limits CPU and memory usage, resulting in less impact on the tasks consumers perform every day such as opening documents or browser windows or loading search results, even on older or less powerful PCs. Microsoft Security Essentials uses real-time protection to help prevent PCs from becoming infected, and it is the first Microsoft security product to make use of the company’s new Dynamic Signature Service, a technology that helps ensure users stay protected by the most current virus definitions available without having to wait for the next scheduled download.

“Microsoft is focused on the challenges that prevent consumers from running up-to-date anti-virus software today, particularly in emerging markets where there is a growing prevalence of malware,” said Jon Crotty, security analyst at IDC. “With Microsoft Security Essentials, Microsoft is helping to reduce some of the barriers that constrain consumers from running AV.”

Microsoft Security Essentials will be available for Windows XP SP2 or SP3, Windows Vista and Windows 7 including Windows XP mode on both x86 and x64 PCs.

CUPERTINO, California—July 23, 2009—Apple® today announced a significant update to Final Cut Studio® with more than 100 new features and new versions of Final Cut Pro®, Motion, Soundtrack® Pro, Color and Compressor. Final Cut Studio features Final Cut Pro 7 which expands Apple’s ProRes codec family to support virtually any workflow and includes Easy Export for one step output to a variety of formats and iChat® Theater support for real-time collaboration. Motion 4 includes enhanced tools such as 3D shadows, reflections and depth of field for stunning motion graphics and visual effects, and Soundtrack Pro 3 features new multitrack audio tools to streamline audio post production. Color 1.5 includes better Final Cut Pro integration and support for full color resolution, and Compressor 3.5 adds new features that make it easy to set up and customize your export options. At $999, the new Final Cut Studio is $300 less than the previous release and is also available as an upgrade for just $299.

“With 1.4 million users and 50 percent of the market,* Final Cut Pro is the number one professional video editing application,” said Philip Schiller, Apple’s senior vice president of Worldwide Product Marketing. “The new Final Cut Studio includes more than 100 new features and dramatically expands Apple’s ProRes family of codecs so editors can work in the studio with the highest quality video or on location at low bandwidths.”

Final Cut Pro 7, the latest version of Apple’s Emmy Award-winning editing software, includes new versions of Apple’s ProRes codecs to support virtually any workflow with the addition of ProRes Proxy, for offline and mobile editing at low bandwidth; ProRes LT, for general purpose editing; and ProRes 4444 for editing and visual effects at the highest quality possible. Motion 4 extends award-winning, easy to use animation tools so video editors can quickly create everything from basic titles to animated credit rolls to stunning motion graphics. Enhancing 3D compositions is faster than ever with new customizable features that add point and spot lights to cast realistic shadows or turn any shape, video plane or paint stroke into a reflective surface. Motion 4 gives editors the flexibility to adjust the depth of field within a 3D canvas by selectively highlighting a single object or using multiple objects to create a racking focus effect.

Soundtrack Pro 3 adds powerful new audio editing tools including Voice Level Match which extracts volume information from the vocal content of one clip and applies it to another without altering any other audio content so editors can easily correct mismatched voice levels. An enhanced File Editor includes new tools to make sophisticated edits and fine tune volume adjustments by targeting specific frequencies such as the rustle of a paper or the bump of a desk without affecting dialogue. The new Advanced Time Stretch feature stretches and compresses audio with incredible precision using three Apple-designed algorithms or other algorithms available as third party plug-ins.

Color 1.5, Apple’s easy to use professional grading application, now works with a greater range of sequences and effects from Final Cut Pro and an integrated workflow allows editors to complete projects entirely within Final Cut Studio. New 4K support works natively with files from cameras such as the RED ONE and outputs directly to ProRes for HD or DPX for film. Expanded support for new high quality formats includes AVC-Intra, XDCAM 422 and ProRes 4444, for grading with the maximum amount of color information.

Compressor 3.5 makes encoding and delivering in multiple formats easier than ever with the ability to automatically detect QuickTime® settings and create an Easy Export template or a mini “droplet” on the desktop that automates specific Compressor actions. New, customizable sharing options make it easy to publish to YouTube and MobileMe, or export for iPhone, iPod, Apple TV and mobile phones. For the highest quality HD material, menu templates and encoding presets make it fast and easy to create Blu-ray discs. Final Cut Studio also includes DVD Studio Pro®, a powerful DVD authoring environment with drag and drop tools, on screen editing and real time previews.

Soundtrack Pro and Compressor are also available as part of the new Logic Studio®, allowing Final Cut and Logic® users to collaborate and share files.

Apple today also introduced Final Cut Server 1.5, the asset management and automation tool for Final Cut Studio. Final Cut Server 1.5 includes powerful new features like lightweight, offline editing with ProRes Proxy, production hierarchies to organize media, and support for still sequences to easily view and manage image sequences for graphics and effects workflows. Final Cut Server now includes unlimited client licenses and is available for $999 or as a $299 upgrade for existing users.

Pricing & Availability
It is still in the early stages and hopefully Microsoft doesn’t screw this one up. At CES they official announced the OS and details on the beta.

LAS VEGAS — Jan. 7, 2009 — In a keynote address at the 2009 International Consumer Electronics Show (CES), Microsoft Corp. Chief Executive Officer Steve Ballmer announced the beta availability of the Windows 7 operating system as well as the availability of the latest version of the Windows Live, a suite of personal communications services and applications.

“I’m thrilled to announce the availability of the Windows 7 beta, which is on track to deliver simplicity and reliability,” Ballmer said. “Windows 7 and Windows Live are part of an incredible pipeline of consumer technology that is making it easier than ever for people to communicate, share and get more done.”

The beta version of Windows 7, Microsoft’s next-generation PC operating system, can be downloaded today by MSDN, TechBeta and TechNet customers. Consumers who want to test-drive the beta will be able to download it beginning Jan. 9 at http://www.microsoft.com/windows7.

Microsoft also announced the global availability of Windows Live, a free suite of communications and sharing applications. Windows Live makes it easy for people to communicate, share and keep their online lives in sync and in one place with one login. The new and enhanced Windows Live services — including PCMag.com 2008 Editors’ Choice winner Windows Live Messenger — along with Windows Live Mail and Windows Live Photo Gallery are designed to work seamlessly with more than 50 popular Internet services. Ballmer also announced new alliances with the following companies:

• Dell Inc. In February, to offer a comprehensive experience for consumers to connect, share and personalize their content, Dell will offer preloaded Windows Live Essentials (a free suite of applications for instant messaging, e-mail and photos that complement Windows Live on the Web) and Live Search on a majority of its new consumer and small-business PCs globally.

• Facebook. In the coming months, Facebook users can choose to share content they post on Facebook, including photos, directly into Windows Live.

• Verizon Wireless. Under a new five-year relationship that covers mobile search and advertising, Verizon subscribers in the U.S. will be able to use Live Search to search for local business and shopping information; access maps and directions; perform general Internet searches; and find ring tones, games, wallpaper and other online mobile products and services.

Together with Internet Explorer 8, currently in beta and releasing soon, Windows Live helps make the things people do most on the Web (searching, sharing and communicating) faster and less complex with fewer clicks, logins and customizations. Windows Live is now available for download at http://www.windowslive.com/explore, or automatically via Microsoft Update for current customers.

Windows 7 Consumer Features Showcased

Microsoft demonstrated new features and key improvement in Windows 7 based on listening to the needs of customers. Windows 7 is designed to do the following:

• Work the way consumers want. With Windows 7, Microsoft paid special attention to performance, reliability, security, compatibility and battery life. The company is on track to deliver a great experience that will allow customers to spend more time doing the things they want to do, without the operating system getting in the way.

• Make everyday tasks faster and easier. The more streamlined and intuitive design of Windows 7 is intended to simplify the things people do every day on their PCs. Desktop improvements make using the PC easier and provide immediate access to the applications and files people use most often through features such as Jumplists, Previews and the new Taskbar. The new Home Group feature makes it easier for consumers to connect multiple home PCs together to share printers and access files, music, photos and videos. Device Stage makes connecting and working with devices easier than ever with a single interface to manage devices and run common tasks. New multitouch technology in Windows 7 will enable people with touch-screen monitors to use multiple fingers to interact with their PC screens in a more intuitive way.

• Offer a better entertainment experience. Consumers today have access to more digital media and are increasingly using the PC as the hub of their electronic experiences. The “Play-to” feature in Windows 7 allows easier streaming of music, video and photos to devices in a home network. Windows Media Player and Windows Media Center in Windows 7 have built-in support for more media formats so people can use their PC to play more media content and sync it to a broader range of devices. As an alternative to monthly digital video recording (DVR) fees, Windows Media Center, available in some editions of Windows 7, with a TV tuner and improved user interface, makes recording TV free and easy.

Entertainment That Extends Across Devices; New Xbox Experiences Previewed

Microsoft’s president of the Entertainment & Devices Division, Robbie Bach, shared the stage at CES with Ballmer. Bach addressed Microsoft’s unique ability to deliver entertainment on virtually any screen that consumers commonly use today, including the PC, TV and mobile phone.

Microsoft chief executive officer Steve Ballmer delivers the pre-event keynote at International CES 2009; Ballmer announced the availability of Windows 7 beta and new partnerships with Web sites such as facebook. Jan. 7, 2009, Las Vegas.

Despite a tough holiday and economy, Xbox 360 registered its biggest year ever, driven by record sales at retail with 28 million consoles sold to date, an 84 percent jump in online consumer spending, and Xbox LIVE membership that has grown to 17 million active members.

“Not only is Xbox 360 one of the world’s leading next-generation gaming consoles, but with partners like Netflix, it is one of the world’s leading entertainment devices, period,” Bach said. “With 28 million consoles sold worldwide, an active online community of 17 million members, and more than $1 billion spent on Xbox LIVE since the launch of the Xbox 360, it’s clear that consumer demand for these great entertainment experiences has never been higher. We’re only beginning to scratch the surface of what’s possible with Xbox.”

Bach shared how consumer demand for connected TV experiences is growing and announced the Mediaroom platform has reached nearly 2.5 million subscriber homes worldwide, an increase of more than 1.5 million new connections in the past year alone. The award-winning Microsoft Mediaroom is driving the future of television by enabling broadband service providers to deliver new connected TV and entertainment experiences to consumers around the world. Bach also unveiled a groundbreaking feature called Mediaroom Anytime that lets subscribers access previously aired shows directly from the Interactive Program Guide without any pre-planning or prior DVR recording.

Bach discussed how Microsoft is making it easier than ever for people to synch their entertainment content across the screens in their lives. This month, Microsoft and Netflix, the world’s largest online movie rental service, will offer software that enables Windows Mobile customers to update and view their Netflix movie queue. Changes will appear instantly on Netflix on Xbox LIVE, extending the existing service that launched in November. Xbox 360 is the only game system that lets people instantly watch thousands of movies and TV episodes streamed from Netflix, many in HD.

Bach also spoke about how Xbox 360 and Xbox LIVE are transforming the way people enjoy interactive entertainment at home. This spring, Microsoft will introduce a new interactive entertainment genre with the premiere of the Xbox LIVE Primetime channel, which brings together the best of TV and gaming. Xbox LIVE Primetime will debut with an online version of the popular TV show “1 vs. 100” that enables thousands of gamers to play together with real hosts and compete for real prizes.

In addition, Bach talked about the outpouring of creativity from the Xbox community since the announcement of Community Games in November, with over 100 new games available for anyone to play. He highlighted an upcoming Xbox LIVE Community Game called “Kodu,” launching in the spring, designed to help anyone from age 7 to 70 create their own video games.
